各区、县人民政府，有关委、局，有关单位：
市人民政府同意市经委等七部门拟订的《天津市企业开展多种经营暂行办法》，现转发给你们，望遵照执行。
天津市企业开展多种经营暂行办法
为妥善安置企业富余职工、稳定职工队伍、保持社会安定和经济持续稳定发展，根据党的十三届五中全会精神和市委、市政府关于千方百计开辟多种生产、经营、服务门路，进一步推动企业发展多种经营的要求，特制定本办法。
一、总则
（一）企业要在搞好主业、努力提高经济效益的基础上，充分利用本单位的富余职工和闲置设备、厂房、场地等条件，发挥生产、技术、资源等优势，积极兴办多种经营企业。
（二）兴办的多种经营企业一般为集体所有制企业，行政上隶属主办单位领导，经济上自主经营，独立核算，自负盈亏。
（三）多种经营企业的厂长（经理）可以由主办单位委派，也可以通过招标竞争、招聘或民主选举产生。其行政管理机构不强求上下对口，但必须健全各项管理制度，设置必要的精干的管理人员。
（四）多种经营企业应根据实际情况设置党、工、团基层组织，加强思想政治工作，但应尽量减少脱产人员。
（五）多种经营企业必须依法经营，遵守国家法律政令，认真执行各项政策规定。新开办的多种经营企业必须经上级主管部门批准，到工商管理部门办理登记手续。
（六）各级政府、各综合部门都要积极支持企业开展多种经营，千方百计为发展多种经营创造方便条件。各委、局和主办单位应明确一位领导同志分管，并指定一个部门负责这项工作。任何部门都不得向多种经营企业乱摊派，不得平调多种经营企业的财产。
（七）对于原企业的车间、科室、部门划小核算单位改为分厂、分店的，一般不享受多种经营企业待遇。
二、多种经营的范围
（一）企业开展多种经营，要充分发挥自身优势，根据国家产业政策和社会需求，正确地选择和确定生产、经营、服务项目。
（二）提倡多种经营企业利用主办厂的边角余料、废渣、废液、废气等进行生产加工，综合利用；提倡对主办厂的产品进行延伸加工，发展节约原材料、节约能源、出口创汇的生产加工项目；提倡发展社会服务型企业；提倡有条件的企业发展农副生产；提倡有条件的企业内部托幼园所
、浴池、医务室等福利设施对社会开放。
（三）多种经营包括：工业生产加工项目；技术开发、咨询、服务；交通运输、仓储业务；零售商业、饮食业、维修服务业；种植、养殖、畜牧等农副业生产；文化、艺术、医疗卫生服务和其他国家政策允许的社会需要的业务。
（四）严格限制多种经营企业经营社会批发商业和中介服务，以及其他国家限制发展的生产项目、经营业务。
（五）禁止多种经营企业经营重要生产资料和国家统购统销、专营、专控商品，以及其他国家政策、法令明令禁止的各种生产项目和经营业务。
三、多种经营的税收
（一）多种经营企业从投产（开业）后有收入的月份起，免征产品税（增值税）、营业税、所得税一年。免税期满后仍有困难的，由税务部门审定，可给予适当减免税照顾。
（二）对企业当年实现利润超过上年的增长部分，经税务部门核定，可在税前提留30％，免征所得税，转入企业生产发展基金和福利基金，其中生产发展基金不低于60％。
（三）企业在经营过程中发生年度亏损的，经企业申请，可按现行规定减免产品税（增值税）、营业税。对上年亏损当年扭亏为盈的，经企业申请，可视情况减免本年度所得税。
（四）企业内部的托幼园所、浴池、医务室、食堂等福利设施，经有关部门批准对外开放的、以及有条件的企业发展农副业生产的，均享受同行业的减免税待遇。经有关部门批准，对社会开放的托幼园所、早点部、浴池，可享受同行业物资供应政策。
（五）企业生产经营活动中的正常业务费用，在不超过销售收入5‰的范围内，由销售费用中列支。
（六）本规定所列各项减免税规定，不适用于生产销售国家规定不能减免税的产品和企业，不适用于经营批发业务的商业企业和兼营批发业务的收入。企业减免的税金要用于发展生产，不准挪作他用。
四、多种经营企业留利的分配
（一）企业留利的分配原则是：生产发展基金不得低于40％，福利基金不得低于25％，其余为奖励基金。
（二）多种经营企业开办一年后，在生产经营稳定、经济效益较好的前提下，经上级主管部门批准，主办单位可从其税后留利中提取一定比例，直接并入主办单位自有资金，用于发展生产和集体福利事业。
五、多种经营企业的资金
（一）对多种经营企业所需流动资金，财政、金融等部门要积极给予支持。
（二）主办企业和企业主管部门，应积极创造条件为多种经营企业筹措相应的资金。多种经营企业税后留利中生产发展基金的10—30％要补充自有流动资金。
（三）为解决企业资金不足，经人民银行市分行批准，可在企业内部集资，利率可高于同期限居民定期储蓄利率的40％。企业集资用于流动资金的可在税前付息。
（四）企业经批准用于产品开发、技术改造、设备更新等方面的技措贷款，除用新增折旧基金还外，可按规定用新增利润还本付息。
（五）多种经营企业免税期间，主管部门不征收管理费。免税期满按规定收取的管理费，除正常开支外，年终结余部分由主管局统一掌握，用于解决多种经营企业的临时困难。
六、多种经营企业的劳动工资
（一）多种经营企业以安置富余职工为主，富余职工占全部职工比例一般不得低于70％。因生产经营需要，经主管部门批准，可招收社会待业人员，但不得招用农村劳动力。
（二）主办单位利用富余职工兴办多种经营企业后，结余工资留主办单位使用。
（三）多种经营企业根据生产经营需要，经主管部门批准，可从社会上招聘少量专业骨干，待遇自定。其工资在不超过本企业职工标准工资二倍的范围内，可在税前列支。对确有突出贡献的，可给予一次性奖励。
（四）全民企业富余职工到多种经营企业后，原所有制身份不变，离退休（退职）时仍享受原单位待遇。多种经营企业因故关停后，对新招的集体所有制职工，可通过开辟新的生产服务门路安置，或在主管部门系统内集体所有制单位调剂，但不能调入全民单位“混岗”。
（五）多种经营企业计税工资奖金额比照城镇集体企业现行标准执行。主办单位职工标准工资较高的，单独计算奖金额，按人均年奖金不超过标准工资五个半月（含一个月分红）掌握，不征奖金税。
（六）在上级主管部门核准的工资总额内，多种经营企业可采取多种分配形式，灵活使用。以劳务为主，经营饮食、服务、修配业的企业按现行规定可实行提成工资，免征奖金税。有条件的企业也可试行工资调节税办法。
本办法自一九九0年一月一日起执行。以前市有关部门颁布的有关开展多种经营的规定，凡与本办法抵触的，均以本办法为准。

为了加快实施沿海地区经济发展战略，促进我国沿海地区外向型经济的发展，国务院有关部门根据国务院关于清理涉外法规的部署和要求，对国务院发布或者批准发布的现行涉外方面的行政法规和法规性文件（以下简称法规）进行了清理。清理出来的第二批应予废止的法规12件，经
国务院清理涉外法规领导小组和国务院法制局逐件复查，国务院审议，决定予以废止（法规名称见附件一）。
同时清理出来的第二批自行失效的法规16件，也经国务院清理涉外法规领导小组和国务院法制局逐件复查，现一并附后（法规名称见附件二），以便各地区、各部门全面了解已失效的涉外法规的情况，利于工作。

CIRCULAR OF THE STATE COUNCIL CONCERNING THE ANNULMENT OF THESECOND BATCH OF REGULATIONS GOVERNING FOREIGN-RELATED MATTERS

CIRCULAR OF THE STATE COUNCIL CONCERNING THE ANNULMENT OF THE
SECOND BATCH OF REGULATIONS GOVERNING FOREIGN-RELATED MATTERS
(September 27, 1988)
In order to speed up the implementation of the strategy for economic
development in the coastal areas, and to promote the development of
export-oriented economy in the coastal areas of our country, the
departments concerned under the State Council, in accordance with the
planning and requirements of the State Council for the sorting out of
regulations governing foreign-related matters, have undertaken the sorting
out of the existing administrative regulations as well as other legal
documents (hereinafter referred to as "the regulations", for short),
promulgated by the State Council or promulgated with the approval of the
State Council. At present, the second batch of twelve regulations, which
have been sorted out and should be annulled, have been re-examined, piece
by piece, by the Leading Group under the State Council for the Sorting Out
of Regulations jointly with the Bureau of Legislative Affairs of the State
Council and by the State Council: and it is decided to announce the
annulment of the aforesaid regulations (See Annex I for the titles of the
aforesaid regulations). At the same time, the second batch of sixteen
regulations, which have become invalid automatically, have also been
sorted out and reexamined, piece by piece, by the Leading Group under the
State Council for the Sorting Out of Regulations jointly with the Bureau
of Legislative Affairs of the State Council: and now these sixteen invalid
regulations (See Annex II for their titles) are also included here as
Annex II in order to help various regions and departments concerned obtain
an overall understanding of the condition of those invalid regulations
Governing foreign-related matters, thereby facilitating their work.
